Terms and Conditions

Introduction

By engaging Nuroxia's services, the client accepts these Terms and Conditions in their entirety. These terms govern the commercial relationship between Nuroxia and its clients, and apply to all projects and services provided. If you do not agree with any of these terms, we ask that you refrain from using our services.

Service Description

Nuroxia provides custom software development, web design and development, process automation, AI implementation, and technology consulting services. The specific scope of each project is defined in a technical document agreed upon and signed by both parties before work begins.

Quotes, Payments & Billing

Quotes are valid for 15 days from the date of issue. The payment structure is defined in the initial proposal and includes, by default, a 50% upfront deposit to begin the project and the remaining balance upon final delivery. Nuroxia issues electronic invoices for all services rendered, and failure to meet payment deadlines may result in service suspension.

Project Scope & Changes

The scope of work is defined in the technical document approved by both parties. Any modification, additional feature, or change in direction requested by the client that exceeds the original scope may result in an adjustment to the budget and delivery timeline, following written notification and mutual agreement.

Client Obligations

The client agrees to provide, in a timely manner, all information, access credentials, content, and materials required for project development. Delays in delivering these elements may impact committed timelines without implying any liability on Nuroxia's part.

Intellectual Property

Once 100% of the project value is paid, the client acquires ownership of the source code, designs, and digital assets developed.

Confidentiality

Both parties agree to keep all sensitive or strategic information exchanged during project execution in strict confidence. This commitment applies for the duration of the agreement and remains active for an additional two years after its conclusion.

Limitation of Liability

Nuroxia is not liable for data loss, third-party service outages, lost profits, or indirect damages that may result from the use of the delivered solutions. In no event shall Nuroxia's total liability to the client exceed the amount actually paid for the project in question.

Support & Maintenance

Technical support and corrective maintenance after project delivery must be contracted separately through a specific support agreement. Nuroxia provides a 30-day warranty on functional errors detected within the original scope of the delivered project.

Service Cancellation or Termination

Either party may terminate the agreement with a minimum of 15 calendar days' prior notice. In case of cancellation initiated by the client, amounts paid to date are non-refundable. Nuroxia will deliver to the client all work completed up to the point of agreement termination.

Modifications to Terms

Nuroxia reserves the right to update these Terms and Conditions at any time and without prior notice. Changes will be published on this page with the corresponding update date. Continued use of our services implies tacit acceptance of the current terms.
